These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User" or "you") and OnchainIntel ("Company," "we," "us," or "our") concerning your access to and use of the www.onchainintel.net and pqs.onchainintel.net websites, as well as any other media form, media channel, or mobile website related or connected thereto (collectively, the "Site").

1. Intellectual Property & Limited License

1.1 Ownership: Unless otherwise indicated, the Site, its source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics (collectively, the "Content") and the trademarks, service marks, and logos contained therein (the "Marks") are owned or controlled by the Company or licensed to us.

1.2 Proprietary Data: The Content specifically includes all proprietary algorithms, scoring methodologies (including but not limited to PQS metrics), and the specific arrangement of blockchain data. You acknowledge and agree that these constitute valuable Trade Secrets of the Company.

1.3 Limited License: Subject to your compliance with these Terms, we grant you a non-exclusive, non-transferable, revocable license to access and use the Site and its Content solely for your internal business or personal purposes. This constitutes a license to use the product; it does not constitute a transfer of ownership of any underlying Intellectual Property (IP) or proprietary technology.

2. Prohibited Actions

You agree not to:

Decompile/Reverse Engineer: Decipher, decompile, disassemble, or reverse engineer any of the software or algorithmic logic comprising the Site or its scoring systems.

Redistribute: Sell, rent, lease, or otherwise sub-license the Content or Site access to any third party without express written consent.

Automated Scraping: Use any data mining, robots, "spiders," "AI scrapers," or similar data gathering and extraction tools. Use of the Site's data to train, fine-tune, or prompt any Large Language Model (LLM) or AI agent is strictly prohibited.

Commercial Exploitation: Use the Site's data to develop, support, or improve any product, service, or software that competes with the Company's offerings.

3. No-Derivatives Clause

You are strictly prohibited from creating derivative works based on the Site, its Content, or its proprietary data analysis models. This includes, but is not limited to, developing competing blockchain analysis tools, proprietary scoring systems, or any other product that utilizes the logic, structure, or output of OnchainIntel as its foundation.

4. Breach of IP & Liquidated Damages

4.1 Irreparable Harm: You acknowledge and agree that any breach of Sections 1, 2, or 3 of these Terms will cause the Company immediate and irreparable harm for which money damages alone would be an inadequate remedy.

4.2 Liquidated Damages: Because actual damages resulting from unauthorized redistribution or the creation of derivative works are difficult to quantify, you agree to pay the Company, as liquidated damages and not as a penalty, the sum of $100,000 USD per violation.

4.3 Cumulative Remedies: The Company reserves the right to seek injunctive relief, disgorgement of 100% of gross revenue from products built using Company IP, and recovery of all reasonable attorney fees and forensic investigation costs.

5. Governing Law & Arbitration

5.1 Governing Law: These Terms shall be governed by and construed in accordance with the laws of the United States and the State of Delaware, without regard to conflict of law principles.

5.2 Mandatory Arbitration: Any dispute arising out of or relating to these Terms shall be settled by binding arbitration in Wilmington, Delaware on an individual basis. You waive any right to participate in a class-action lawsuit or class-wide arbitration.

Not Financial Advice: The information provided on OnchainIntel is for informational purposes only. We do not provide investment, financial, or tax advice.

Blockchain Risks: You acknowledge the inherent risks and volatility of blockchain technology. OnchainIntel is not responsible for financial losses incurred based on the data provided.

No Warranty: The Site is provided on an "AS-IS" and "AS-AVAILABLE" basis at your sole risk.

7. Termination

We reserve the right, in our sole discretion and without notice or liability, to terminate your access to the Site for any reason, including but not limited to a breach of these Terms.
